Management denies the existence of pressure to close deals

Spajic says the industry changes quickly, and the company cannot be complacent, continuously exploring the next opportunity, but there is no urgency to sign within a specific deadline. The criterion is whether the transaction can enhance existing business and serve the global digital entertainment goals.

The Novibet transaction was terminated due to the impact of remedial plans on value

Allwyn had planned to acquire European sports betting platform Novibet, valuing its technology, talent, and market penetration. After feedback from the Greek Competition Commission, various structures and remedial arrangements discussed could not maintain the original value, leading the company to ultimately withdraw.

Acquisitions can both augment capabilities and open markets

The team is looking for smaller reinforcing transactions and more strategic assets. The former can improve operational and technological capabilities, while the latter can enter regions and verticals that are not yet fully developed, have lower regulatory maturity, or are missing from the existing product portfolio.

Integration returns are more important than announced scale

The user bases, licenses, and technology stacks of lotteries, sports betting, digital games, and DFS differ. Allwyn has the willingness to continuously seek transactions, but the Novibet case illustrates how antitrust conditions can change pricing and synergy assumptions.
