The company has confirmed the completion of the acquisition of the L'Arc Casino Hotel Complex located on the Macau Peninsula, and its wholly-owned subsidiary SJM Resorts SA has been approved by the Macau government to operate this casino as a self-managed venue, completely abandoning the past "satellite casino" management model.

From "Satellite" to "Direct Operation" Era

According to the company announcement, the acquisition agreement was finalized on November 20 and officially completed on December 17. From 2 AM on December 30, SJM Resorts will directly take over the operation of the casino. This means that Casino L'Arc Macau will no longer operate under the service agreement linked to the satellite casino framework, but will be fully integrated into SJM's core asset portfolio.
This is a critical juncture. According to the revised Macau gaming laws, the old satellite casino model (operated by third-party investors under the agreement of a licensed company) is being gradually phased out. Starting from 2026, third-party investors involved in satellite casinos will only be able to earn management fees through designated management companies, and will no longer directly share gaming revenue. Although there is a three-year transition period from 2023 to the end of this year, the deadline for full compliance is fast approaching.

The subsequent decision was to terminate the operation of Ponte 16, making L'Arc the only satellite property to transition to direct management.
The purchase price of this acquisition is also quite noteworthy, approximately $2.24 billion. Investment banks had previously analyzed that considering the property's "prime location" on the Macau Peninsula, this agreement price seems "very attractive" to SJM Holdings, representing a "cost-effective deal." The total built-up area of the L'Arc Hotel Complex is approximately 86,438 square meters, including hotel rooms, dining, retail space, and a casino. SJM confirms that it has taken on the responsibility of the hotel complex's integrated operations after the acquisition.
Strengthening Market Synergy in the Peninsula Core Area
SJM points out that the acquisition of L'Arc enhances its market position in the high-density customer source area of the Macau Peninsula. This area concentrates several of its properties branded as "Lisbo." The company states: "This new asset strengthens the group's layout in the high-density customer flow area, enhances the synergistic effects between its 'Lisbo' branded properties, allowing SJM Resorts to retain geographically loyal customers, improve customer flow, and expand market coverage."
With the associated satellite casinos of MGM China and Galaxy Entertainment having closed earlier this year, SJM's acquisition and transformation of L'Arc essentially puts an end to the era of Macau's satellite casinos.
